Supplier Code of Conduct

1. PREAMBLE

Zzzest Sàrl, a limited liability company under Swiss law, having its principal place of business at Rue de la Corraterie 14, 1204 Geneva, Switzerland (“Zzzest”), offers a comprehensive range of event management services to high-end clients. Zzzest collaborates with carefully chosen and trustworthy suppliers, who share Zzzest’s relentless quest for quality and its culture of the high ethical standards.

Zzzest aims to provide an inclusive and engaging working environment, to support the communities it operates in, to minimize its environmental footprint, and to follow trusted, transparent and compliant business practices.

Zzzest abides by a strict set of ethical standards, and expects all of its suppliers, and all companies who do business with Zzzest (“Suppliers”), to adhere to the same ethical standards. For this purpose, Zzzest has elaborated this Supplier Code of Conduct (SCoC), which sets the minimum standards for doing business with Zzzest.

2. SCOPE AND COMPLIANCE

Any and all Suppliers are obligated to comply with the terms and conditions outlined in this SCoC. Zzzest expects that Suppliers apply this SCoC to their businesses and enact similar policies to their own supplier network. Non-compliance with this SCoC shall constitute a material breach of the agreement between Zzzest and the Supplier, and may lead to contract termination, amongst other legal remedies.

In the event of a conflict between the terms and conditions included in the SCoC, Supplier scope of work or service specifications as approved and signed by both parties, Zzzest’s Supplier Terms and Conditions, the Supplier invoice terms and conditions as signed by Zzzest, and the Order Form as signed by Zzzest, the order of precedence shall be:

  • (a) The SCoC;
  • (b) Supplier scope of work or service specifications as approved and signed by both parties;
  • (c) Zzzest’s Supplier Terms and Conditions
  • (d) the Order Form as signed by Zzzest
  • (e) The Supplier invoice terms and conditions as signed by Zzzest

3. ETHICAL CONDUCT

Zzzest Suppliers shall at all times comply with the laws and regulations applicable to its business activities. Suppliers shall support the principles of the United Nations Global Compact relating to human rights, labour, environment, and anti-corruption, as derived from the Universal Declaration of Human Rights, the International Labour Organization’s Declaration on Fundamental Principles and Rights at Work, the Rio Declaration on Environment and Development, and the United Nations Convention Against Corruption.

In particular, amongst others, the following principles are to be adhered to by all Zzzest Suppliers:

    3.1. Inclusion and Diversity. Zzzest Suppliers shall promote an inclusive work environment that values the diversity o its employees. Suppliers shall be committed to equal opportunities and not discriminate or tolerate discrimination or harassment with respect to gender, ethnic and national origin, race, color, religion, age, disability, sexual orientation and identity, or any other characteristic protected by law.

    3.2. Environmental and climate protection. Zzzest actively and relentlessly searches for ways to reduce its environmental footprint, and expects full support from its Suppliers to do so. Suppliers shall comply with all applicable environmental laws, regulations and standards as well as implement an effective system to identify and eliminate potential hazards to the environment. Zzzest expects its Suppliers to take environmental and climate protection appropriately into account in their own operations, for example, by setting climate protection goals and achieving them.

    3.3. Anti-corruption and anti-money laundering. Suppliers shall strictly comply with anti-corruption laws within the countries of operation. Suppliers shall under no circumstances, neither directly nor indirectly, offer, provide or accept anything of value to improperly influence an official act or to secure an improper advantage in order to obtain or retain business. This includes so-called facilitation payments or other benefits provided to public officials for routine non-discretionary actions.
    Supplier shall comply with applicable laws and regulations designed to combat money laundering activities. Suppliers shall maintain financial records and reports according to applicable laws and regulations.

    3.4. Health and Safety. Zzzest expects its Suppliers to strive to implement the standards of occupational health and safety at a high level by applying a health and safety management approach appropriate for the business. Suppliers shall comply with applicable occupational health and safety regulations and provide a work environment that is safe and conducive to good health in order to preserve the safety and health of employees, safeguard third parties and prevent accidents, injuries and work-related illnesses. This includes regular workplace risk assessments and the implementation of adequate hazard control and precautionary measures, including the provision of appropriate personal protective equipment.

    3.5. Data Protection, Information Security, and Disclosure of Information. Suppliers shall adhere to applicable data protection laws and regulations, and shall process any personal data collected from Zzzest, or from Zzzest customers, employees and shareholders in accordance with the provisions of EU Regulation (EU) 2016/679 (the General Data Protection Regulation), the new federal data protection act of September 25, 2020 of the Swiss Confederation (nLPD), and its GDPR- or nLPD compliant privacy policy.

    The information security requirements applicable to Suppliers with regards to any data entrusted to their control during and after their engagement with Zzzest are based on international standards, such as the Code of Practice for Information Security Management. Suppliers should take account of the need to protect the confidentiality, integrity and availability of information. At all times the required level of information security and control to be ensured by Suppliers must be commensurate with the sensitivity, value and criticality of the information being processed throughout the lifecycle of the information. Suppliers shall safeguard and make only appropriate use of confidential information. Suppliers shall comply with any contractual requirements on data protection and information security and shall not disclose any information that is not known to the general public.

    3.6. Conflicts of Interest. A conflict of interest is any personal or financial interest, any business or personal activity or relationship, prior or current employment, or any obligation that may interfere with the ability to objectively perform job duties and responsibilities or impair independence and objectivity. Such conflict of interest situations include critical relationships such as a relationship by blood or marriage, partnership, participation or an investment in business partners or competitors. Suppliers shall immediately disclose any actual or potential conflict of interest related to its activities with Zzzest.

    4. BUSINESS PARTNER DIALOGUE

    Suppliers shall implement equivalent standards e.g. ethical standards, to the ones laid out in this SCoC for their own suppliers, as part of fulfilling their contractual obligations.

    5. REPORTING IRREGULARITIES

    Zzzest encourages anyone who wishes to report any violations from what is outlined in this SCoC or any suspected breaches of law, to write an e mail to suppliers@Zzzest.com.

    6. CONTINUOUS IMPROVEMENT

    Zzzest encourages Suppliers to proactively approach Zzzest with innovative ideas which contribute to further social, economic or environmental improvement. Zzzest values the open exchange of new ideas and is willing to explore new opportunities jointly with Suppliers.

    7. APPLICABLE LAW AND JURISDICTION

    This SCoC shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of laws rules. Any claim or dispute resulting from parties’ obligations per this SCoC shall be brought exclusively before the Courts of the Canton of Geneva, Switzerland. To the extent permitted by law, Suppliers hereby consent to the jurisdiction and competence of these and agree to make no objection to the jurisdiction and venue of such courts.

    ACKNOWLEDGEMENT AND ACCEPTANCE

    We hereby confirm to have received the aforementioned Supplier Code of Conduct. We will comply with it and further confirm it will apply to any existing and future contractual relationships with Zzzest.
